RATINGS & REVIEWS TERMS AND CONDITIONS

These Ratings & Reviews Terms and Conditions govern your conduct associated with the Customer Ratings and Reviews and/or Questions and Answers services (collectively, "Review Services") offered by Zola, Inc. ("Zola"). Any information, data, content or other materials that you submit, post, upload, share or otherwise provide to or through the Review Service (including but not limited to ratings, reviews, images, and questions and answers) shall be referred to herein as "R&R User Submissions". These Ratings & Reviews Terms and Conditions shall be governed by and hereby incorporate Zola’s Terms of Use. To the extent any conflict exists between the terms set forth in these Ratings & Reviews Terms and Conditions and the terms set forth in Zola’s Terms of Use, these Ratings & Reviews Terms and Conditions shall control.

By submitting any R&R User Submission to Zola, you guarantee that:
  • You are the sole author and owner of the intellectual property rights in such R&R User Submission (or have permission from the author and owner to post and use the R&R User Submission in accordance with these Ratings & Reviews Terms and Conditions); All "moral rights" that you may have in such R&R User Submission have been voluntarily
  • All "moral rights" that you may have in such R&R User Submission have been voluntarily waived by you;
  • Such R&R User Submission is true and accurate;
  • You are at least 18 years old;
  • The R&R User Submission submitted by you does not violate these Ratings & Reviews Terms and Conditions and will not cause injury to any person or entity.
You further agree that you may not submit any R&R User Submission:
  • is copyrighted, unless you are the copyright owner or have the permission of the copyright owner to post it;
  • is obscene, sexually-explicit, threatening, harassing, abusive, hateful, or embarrassing to another user or any other person or entity;
  • is confidential, proprietary, invasive of privacy or publicity rights, infringing on intellectual property rights, unlawful, harmful, threatening, false, inaccurate, misleading, fraudulent, libelous, defamatory, obscene, vulgar, profane, abusive, harassing, hateful, racially, ethnically or otherwise objectionable, including, but not limited to any content that encourages conduct that would constitute a criminal offense, violates the rights of any party or otherwise gives rise to civil liability or otherwise violates any applicable U.S. or foreign laws (including, but not limited to, those governing, consumer protection, unfair competition, anti-discrimination or false advertising);
  • may contain software viruses or malware;
  • is an advertisement, solicitation, promotional material, "junk mail," "spam," chain letters, pyramid schemes or any form of commercial content;
  • for which you were compensated or granted any consideration by any third party;
  • impersonates another person or misrepresents your affiliation with any person or organization;
  • contains personal information (such as phone numbers, Social Security numbers, payment card numbers, account numbers, addresses or employer references);
  • references other websites, addresses, email addresses, contact information or phone numbers;
  • contains messages that offer unauthorized downloads of any copyrighted, confidential or private information; or
  • contains identical (or substantially similar) messages to multiple recipients advertising any product or service, expressing a political or other similar message, or any other type of unsolicited commercial message.

You agree to defend, indemnify and hold harmless Zola, its subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys' fees) ("Claims") asserted by a third party against Zola that arise from: (i) your improper use of or access to the Review Service; (ii) your breach or violation of any term of these Ratings & Reviews Terms and Conditions (including any representations or warranties made by you), (iii) your violation of any third party’s right or any law, regulation, rule or guideline, including without limitation any copyright, trademark, trade secret or other property, or privacy right; (iv) any claim that your R&R User Submission caused damage to a third party; or (v) your negligence or willful misconduct. This defense and indemnification obligation will survive termination, modification or expiration of these Ratings & Reviews Terms and Conditions, your use of Zola’s website and mobile apps, and your use of the Review Service. This obligation to indemnify Zola does not include any Claims asserted by a third party that arise from any negligent, grossly negligent, reckless, willful, fraudulent or intentional conduct committed by Zola.

By submitting and/or posting R&R User Submissions to the Review Service, you automatically grant to Zola a worldwide, royalty-free, perpetual, irrevocable, non-exclusive and fully assignable and sublicensable right and license to use, reproduce, modify, delete in its entirety, adapt, publish, edit, translate, distribute, perform, create derivative work of and display, sell and/or distribute such R&R User Submissions alone, or as a part of other works in any form, media, or technology, whether now known or hereafter developed, without any compensation to you.

All R&R User Submission that you submit may be used at Zola’s sole discretion. Zola reserves the right to change, condense, withhold publication, remove or delete any R&R User Submission on Zola's website that Zola deems, in its sole discretion, to violate the applicable submission guidelines or any other provision of these Ratings & Reviews Terms and Conditions. Zola does not guarantee that you will have any recourse through Zola to edit or delete any R&R User Submission you have submitted. Ratings and written comments are generally posted within two to four business days. However, Zola reserves the right to remove or to refuse to post any submission to the extent authorized by law. You acknowledge that you, not Zola, are responsible for the contents of your R&R User Submission. None of the R&R User Submissions that you submit shall be subject to any obligation of confidence on the part of Zola, its subsidiaries, affiliates, successors, assigns and its and their respective directors, officers, agents, service providers, suppliers and employees.

R&R Submissions are not endorsed by Zola, and do not represent the views of Zola or of any affiliate or partner of Zola. Zola does not assume liability for any R&R User Submissions or for any claims, liabilities, or losses resulting from or relating to R&R User Submissions.
